Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Structur platform provided by Structur, Inc ("Structur", "Company", "we", "our", or "us"). The Structur web application, mobile components (when released), and related services are collectively referred to as the "Software."

By accessing or using the Software, you agree to these Terms. If you do not agree, do not access or use the Software.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes related to managing, selling, operating, or reviewing construction-related projects.

You must provide accurate and complete registration information. You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

All fees and payments are non-refundable, including monthly or annual subscription charges, one-time purchases, upgrades, or prepayments — unless required by law or expressly stated in writing by Structur. No refunds or credits will be given for unused periods, partial months, or feature inactivity. In rare cases, Structur may issue refunds at its sole discretion in the event of a billing error or major service outage.

4. Subscription Renewal & Cancellation

Unless otherwise stated, all subscriptions automatically renew at the end of each billing cycle. You may cancel anytime through your account settings. Cancellations take effect at the end of the current billing period, and no refunds will be issued for unused time.

We reserve the right to suspend or terminate your access at any time, with or without notice, and for any reason, including misuse of the platform or non-payment.

We implement reasonable security measures to protect your data, consistent with our Privacy Policy. However, no internet-based system is 100% secure. You understand and accept that data transmission involves inherent risk. You are responsible for protecting your own credentials and devices.

All intellectual property related to the Software — including source code, visual designs, logos, documentation, and branding — is the property of Structur, Inc or its licensors. Nothing in these Terms grants you ownership or license beyond what is expressly outlined here.

You may not copy, modify, distribute, or otherwise use Structur's intellectual property without prior written consent, except as follows:

Any other use of Structur branding, including alterations of the logo or implying endorsement/partnership outside the permitted cases above, is strictly prohibited unless expressly authorized in writing by Structur, Inc.

We may offer early access or beta features that are experimental and may change without notice. These are provided "as is" without warranty and may be discontinued at any time.

11. Third-Party Services

The Software may contain integrations with or links to third-party services. We are not responsible for the content, functionality, or policies of third-party services and disclaim all liability related to them.

12. Disclaimer of Warranties

The Software is provided "as is" and "as available", with no warranties or guarantees — express or implied — including merchantability, fitness for a particular purpose, availability, or non-infringement. We do not guarantee the Software will be uninterrupted, secure, or error-free.

You agree to indemnify, defend, and hold harmless Structur and its affiliates, officers, and employees from any claim, loss, liability, or expense (including legal fees) arising out of your:

15. Dispute Resolution

Before initiating arbitration, both parties agree to first attempt to resolve any dispute or claim arising from these Terms or use of the Software through informal negotiations in good faith. If the dispute cannot be resolved within 30 days, either party may initiate a non-binding mediation administered by the American Arbitration Association (AAA) or another mutually agreed-upon provider. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in accordance with the AAA Commercial Arbitration Rules. The arbitration will take place in Florida, in English, and each party shall bear its own legal fees unless otherwise awarded. You waive your right to a jury trial and agree not to bring any class, consolidated, or representative action.

16. Force Majeure

We are not responsible for any failure or delay in performance caused by events beyond our control, including but not limited to natural disasters, war, strikes, government actions, service outages, or internet failures.

17. Governing Law

These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict of law provisions.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Software. Continued use after changes go into effect constitutes your acceptance of the new Terms.

19. Data Retention

Following account termination or cancellation, we may retain certain user data for a limited period as required by law, for legitimate business interests, or to prevent fraud and abuse. After this period, we reserve the right to permanently delete your data. It is your responsibility to export or back up any necessary data before your account is closed.

21. Modifications to the Software

We reserve the right to modify, update, or discontinue any aspect of the Software at any time without liability. While we aim to improve functionality and user experience, we do not guarantee continued availability of any specific feature. If a material change impacts core functionality, we will provide reasonable notice when possible.

22. Data Portability

If you are a paying user, you may request a copy of your project data prior to terminating your account. Structur will make reasonable efforts to provide this in a standard, machine-readable format (e.g., CSV or JSON) within 30 days of receiving the request. Additional processing or formatting may incur service fees.

23. Service Availability & Support

Structur aims to provide reliable access to the Software but does not guarantee 100% uptime. Support is available during standard business hours (Monday–Friday) and response times may vary depending on severity and subscription level. Any formal service-level commitments will be outlined in a separate Service Level Agreement (SLA), if applicable.
